ARBITRATION MEANS YOU WILL NOT BE ABLE TO SEEK DAMAGES IN COURT OR PRESENT YOUR CASE TO A JURY.

IF YOU DO NOT WISH TO BE SUBJECT TO ARBITRATION ON A RETROACTIVE BASIS AND AS TO ANY FUTURE CLAIMS, AND YOU HAVE NOT PREVIOUSLY AGREED TO AN ARBITRATION PROVISION WITH US IN CONNECTION WITH YOUR USE OF OUR SERVICES, YOU MAY OPT OUT OF THE ARBITRATION AGREEMENT WITHIN THIRTY (30) DAYS BY FOLLOWING THE INSTRUCTIONS PROVIDED IN THE “BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER” – SEE SECTION 28 OF THESE TERMS AND CONDITIONS, BELOW.

Players Club Social Casino USER ACCOUNT

1. You agree never to use another’s User Account without permission. When creating your User Account, you must provide accurate and complete information. The name you provide when registering your User Account must match that on your government-issued ID. If you provide any information that is untrue, inaccurate, not current, or incomplete, or Players Club Social Casino has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Players Club Social Casino reserves the right to suspend or terminate your User Account immediately and refuse any and all current or future use of the Players Club Social Casino service (or any portion thereof), and declare any Prizes, Gold Coins and/or Sweepstakes Coins won invalid.
2. If your User Account is created via your Facebook account, you are allowing Players Club Social Casino to access your Facebook account information. If you access Players Club Social Casino from Facebook, you shall comply with the terms of service of Facebook as well as these Terms.
3. You are solely responsible for the activity that occurs on your User Account, and you must keep your password secure. You must notify Players Club Social Casino immediately of any breach of security or unauthorized use of your User Account. 6. Suspected Fraud and/or Abuse will result in your User Account being closed and your winnings will be removed, solely at the discretion of Players Club Social Casino. Players Club Social Casino reserves the right to cancel any bonuses and may remove any winnings from your User Account if there is suspicion of fraud or abuse. Fraud or abuse includes, but is not limited to:

USER IDS AND PASSWORDS

1. 3. You agree that you will be solely responsible for the maintenance and security of your User ID and password. 4. Any attempt to circumvent these prohibitions may be grounds for termination of your User Account, without prejudice to any other rights or remedies available to Players Club Social Casino.
7. Players Club Social Casino reserves the right to close, deactivate, or terminate your User Account without notice if it deems, at its sole discretion, the User Account to be Dormant. A User Account will be deemed Dormant if there has been no login activity to the User Account for a period of sixty (60) consecutive days.
8. In the event you wish to close your Players Club Social Casino User Account, you may do so at any time by contacting Players Club Social Casino support at the email below and submitting a request to do so. By closing your User Account, you agree to forfeit all continued access to and right to use, enjoy or benefit from any Gold Coins and/or Sweepstakes Coins or potential unredeemed prizes associated with your User Account. A closed User Account may be reopened by contacting support at the email below and requesting re-activation of your User Account. Players Club Social Casino will evaluate all such requests and re-open accounts at its sole discretion.

SITE MONITORING

1. Players Club Social Casino may monitor or review any areas on Players Club Social Casino where users upload Content, transmit or post Content or communicate with each other, or the like. 3. PUBLICITY AND SUBMISSIONS

Other product or company names referred to on Players Club Social Casino may be trademarks of their respective owners.
2. Players Club Social Casino does not grant to you any rights under any of the Trademarks, and you agree that you may not use any of the Trademarks without permission from the owner of such Other Trademarks. OTHER INTELLECTUAL PROPERTY RIGHTS

2. Without limiting the foregoing, with respect to the databases (“Databases”) used to store the Content, you agree and acknowledge that:

PURCHASING GOLD COINS

1. The Payment Medium you use to purchase GC must be legally and beneficially owned by you and must be in your name.    3. ANY BREACH BY YOU OF THE TERMS CONTAINED HEREIN;
   4. ANY ACTIVITY RELATED TO YOUR Players Club Social Casino ACCOUNT (INCLUDING INFRINGEMENT OF THIRD PARTIES’ WORLDWIDE INTELLECTUAL PROPERTY RIGHTS OR NEGLIGENT OR WRONGFUL CONDUCT) BY YOU OR ANY OTHER PERSON ACCESSING THE SITE USING YOUR Players Club Social Casino ACCOUNT;
   5. ANY CIRCUMVENTION OR ATTEMPTED CIRCUMVENTION OR THESE TERMS OR Players Club Social Casino; OR
   6. ANY FRAUD COMMITTED WITH REGARD TO Players Club Social Casino.
2. Players Club Social Casino reserves the right, at your expense, to institute civil or criminal claims against you, report you to the relevant authorities, and to assume the exclusive defense and control of any matter for which you are required to indemnify Players Club Social Casino, and you agree to cooperate with Players Club Social Casino’s defense of these claims. Players Club Social Casino will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it. You agree that the provisions in this section will survive any termination of your User Account or the Players Club Social Casino service.

RELEASE FOR FORCE MAJEURE

You absolve and release Players Club Social Casino and our affiliates from any claim of harm resulting from any cause(s) over which we or they do not have direct control, including, but not limited to, failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, computer viruses or other damaging code or data, unauthorized access, theft, operator errors, severe weather, earthquakes, natural disasters, strikes or other labor problems, pandemics, wars, or governmental restrictions.

TERM AND TERMINATION

1. Players Club Social Casino reserves the right, at any time and for any reason, without notice to you, (i) to deny you access to Players Club Social Casino and any of the Content; or (ii) to change, remove or discontinue any of the Content or services available on or through Players Club Social Casino.
2. You may terminate this agreement at any time by providing prior notice to Players Club Social Casino and by destroying: (a) all of the Content obtained from Players Club Social Casino, including, without limitation, permanently deleting all of the Content from any computer and/or media; and (b) all related documentation and all copies and installations, if any. In addition, upon Players Club Social Casino’s request, you agree to certify in writing that all of the Content has been destroyed. The warranty disclaimers, limitations and exclusions of liability, reservation and grant of property rights and other terms and conditions contained herein which by their nature are intended to survive will survive the termination or expiration of any license provided to you by Players Club Social Casino.

1. 2. Notices to Players Club Social Casino shall be deemed delivered when actually received by Players Club Social Casino or its authorized representatives.

Such notice will be deemed received by you the next business day after the email is sent. It is your responsibility to maintain an accurate, up-to-date e-mail address.
4. Should you elect to send or receive e-mail communications of any kind to or from Players Club Social Casino, you represent and warrant to Players Club Social Casino that your e-mail service has appropriate and adequate security systems necessary to prevent unauthorized access to outbound or inbound e-mail transmissions.
5. Any notices users provide to Players Club Social Casino that do not comply with this section shall have no legal effect.

COMPLIANCE WITH LAWS/CHOICE OF LAW

1. Access, browsing and use of Players Club Social Casino, the Content and the terms and conditions of the User Agreement are governed by U.S. federal law and/or the laws of the Commonwealth of Virginia, excluding any conflict of laws provisions that would refer to and apply the substantive laws of another jurisdiction.

Subject to the Binding Arbitration and Class Action Waiver Agreement below, these Terms and Conditions and the rights of the parties hereunder shall be governed and construed with the laws of the Commonwealth of Virginia, exclusive of conflict or choice of law rules. For the avoidance of doubt, Virginia choice of law only governs the interpretation and enforcement of the Terms and Conditions. It does not displace any statutory claims or remedies that may exist under any state law.

BINDING ARBITRATION AND CLASS ACTION WAIVER AGREEMENT

PLEASE READ THIS ARBITRATION & CLASS ACTION WAIVER AGREEMENT (the “Agreement”) CAREFULLY. THIS AGREEMENT INCLUDES A MANDATORY ARBITRATION PROVISION WHICH SETS FORTH HOW PAST, PENDING OR FUTURE DISPUTES BETWEEN YOU AND Players Club Social Casino SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS ONLY AND FOR YOUR OWN LOSSES ONLY. UNDER THIS AGREEMENT, YOU MAY NOT PROCEED AS A CLASS REPRESENTATIVE, MEMBER OR PART OF ANY PROPOSED CLASS, COLLECTIVE ACTION OR MASS ARBITRATION, PRIVATE ATTORNEY GENERAL SUIT OR ANY REPRESENTATIVE PROCEEDING, OR OTHERWISE SEEK TO RECOVER ON BEHALF OF OTHERS OR FOR THE BENEFIT OF OTHERS IN ANY TYPE OF CLAIM OR ACTION. ARBITRATION MEANS YOU WILL NOT BE ABLE TO SEEK DAMAGES IN COURT OR PRESENT YOUR CASE TO A JURY.

1. ACCEPTANCE OF TERMS

By using, or otherwise accessing the Games, Website and/or Platform, or clicking to accept or agree to this Agreement where that option is made available, you accept and agree to this Agreement. If you do not agree to this Agreement, then you may not access or use the Games, Website and/or Platform. All of your activity on the Games, Website and/or Platform and all or your transactions with Players Club Social Casino, including all events which occurred before your acceptance of this Agreement, are subject to this Agreement.

1. SCOPE OF AGREEMENT TO ARBITRATE

You and Players Club Social Casino agree that any past, pending, or future dispute, claim or controversy arising out of or relating to any purchase or transaction by You, your access to or use of the Games, Website and/or Platform, or to this Agreement, the Terms and Conditions, the Sweepstakes Rules or Privacy Policy (including without limitation any dispute concerning the breach, enforcement, construction, validity, interpretation, enforceability, or arbitrability of this Agreement or the Terms and Conditions) (a “Dispute”), shall be determined by arbitration, including claims that arose before acceptance of any version of this Agreement, except that you and Players Club Social Casino are NOT required to arbitrate any Dispute in which either party seeks equitable and other relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents. In addition, in the event of any Dispute concerning or relating to this Agreement — including the scope, validity, enforceability, or severability of this Agreement or its provisions, as well as the arbitrability of any claims—you and Players Club Social Casino agree and delegate to the arbitrator the exclusive jurisdiction to rule on his or her own jurisdiction over the Dispute, including any objections with respect to the scope, validity, enforceability, or severability of this Agreement or its provisions, as well as the arbitrability of any claims or counterclaims presented as part of the Dispute.

1. SEPARATE AGREEMENT

The parties acknowledge that this Agreement is a separate agreement between the parties governed by the Federal Arbitration Act, and that any alleged or determined invalidity or illegality of all or any part of the Terms and Conditions, the Games, Website and/or Platform, the Sweepstakes Rules or the Privacy Policy shall have no effect upon the validity and enforceability of this Agreement.

1. INITIATING ARBITRATION

Following the conclusion of the initial dispute resolution process required by this Agreement, you may seek arbitration of a Dispute in accordance with the provisions of this Agreement. The arbitration shall be conducted by the American Arbitration Association (“AAA”) pursuant to its Consumer Arbitration Rules (“AAA Rules”), except as modified by this Agreement. The AAA Rules are available on the AAA’s website www.adr.org, or by calling the AAA at (800) 778-7879, or its then current telephone number as provided on its web site, or by sending a written request to: The American Arbitration Association, 1101 Laurel Oak Road, Suite 100, Voorhees, NJ 08043. In the event the AAA is unavailable or unwilling to hear the dispute in accordance with this Agreement, the parties shall agree to, or a court shall select, another arbitration provider.

By signing a demand for arbitration, a party certifies, to the best of their knowledge, information, and belief, formed after an inquiry reasonable under the circumstances, that: (i) the demand for arbitration is not being presented for any improper purpose, such as to harass, cause unnecessary delay, or needlessly increase the cost of dispute resolution; (ii) the claims and other legal contentions are warranted by existing law or by a nonfrivolous argument for extending, modifying, or reversing existing law or for establishing new law; and (iii) the factual contentions have evidentiary support or, if specifically so identified, will likely have evidentiary support after a reasonable opportunity for further investigation or discovery. The Arbitrator shall be authorized to afford any relief or impose any sanctions available under Federal Rule of Civil Procedure 11 or any applicable state law for either party’s violation of this requirement.

IF YOU DO NOT OPT-OUT, THE ARBITRATION PROVISIONS WILL APPLY RETROACTIVELY TO ALL CLAIMS YOU MAY POSSESS, WHETHER ASSERTED TO DATE OR NOT.

IF YOU DO NOT WISH TO AGREE TO THE PROVISIONS OF THIS AGREEMENT REQUIRING ARBITRATION AND CLASS ACTION WAIVER AND YOU HAVE NOT PREVIOUSLY AGREED TO AN ARBITRATION PROVISION IN CONNECTION WITH YOUR USE OF OUR GAMES, WEBSITE AND/OR PLATFORM, YOU MUST, WITHIN THIRTY (30) DAYS OF ENTERING THIS AGREEMENT, SEND AN E-MAIL FROM THE EMAIL ADDRESS ASSOCIATED WITH YOUR ACCOUNT to service@daracasino.com including THE WORDS “OPT OUT” IN THE SUBJECT LINE AND IN THE BODY OF THE EMAIL, YOUR FULL NAME, ADDRESS AND A STATEMENT THAT YOU WISH TO OPT-OUT OF ARBITRATION.

Whether to agree to arbitration is an important decision. It is your decision to make and you are not required to rely solely on the information provided in these Terms and Conditions. You should take reasonable steps to conduct further research and to consult with counsel (at your expense) regarding the consequences of your decision.

1. LOCATION OF ARBITRATION & APPLICABLE RULES

You and Players Club Social Casino agree that:

Provided the Dispute involves solely individual claims for damages in accordance with the Agreement, the American Arbitration Association (“AAA”) will administer the arbitration under its Consumer Rules in effect at the time arbitration is sought, available at www.adr.org, and the arbitration shall be conducted via telephone or other remote electronic means. However, the parties agree: to select an arbitrator pursuant to the procedure set forth in R-12 of the Commercial Part Rules (instead of the Consumer Part Rules); that the AAA will only include arbitrators from the AAA National Registry Commercial Part list on the parties’ arbitrator selection list (instead of the Consumer list); and the AAA will only include arbitrators who are practicing attorneys or retired federal court judges who have at least ten years of substantive expertise in litigating and resolving of complex business disputes, including motions to compel arbitration and litigation or adjudication regarding whether disputes are arbitrable.
   2. The arbitration of any Dispute shall proceed on an individual basis and neither you nor Players Club Social Casino may bring a claim as a part of a Collective Arbitration.
      Without limiting the generality of the Agreement, and as an example only, a claim to resolve a Dispute against Players Club Social Casino will be deemed a Collective Arbitration if: (a) two (2) or more similar claims for arbitration are pending concurrently by or on behalf of one or more claimants; and (b) counsel for the two or more claimants are the same, share fees or coordinate in any way across the arbitrations.
   3. If, notwithstanding the terms of this Agreement, to the extent a party attempts to assert any claims or seek relief on behalf of or for the use of other persons or a class under any theory, or in which injunctive relief is sought by a party that would significantly impact other Players Club Social Casino users or the operation of the Platform, the Commercial Arbitration Rules shall apply and, as appropriate, the Supplementary Rules for Class Action of the AAA may apply.
   4. The applicable AAA rules will govern payment of all arbitration fees.
   5. Except as otherwise may be required by the AAA Rules, the arbitration will be held in Virginia Beach, Virginia.
   6. The arbitrator shall be authorized to award any remedies, including injunctive relief, that would be available in an individual lawsuit and that are not waivable under applicable law, however, any relief must be individualized to you and shall not affect any other persons.
   7. Except as and to the extent otherwise may be required by law, the arbitration proceeding, pleadings, and any award shall be confidential, except as may be necessary in connection with a court application for a preliminary remedy, a judicial challenge to an award or its enforcement.
2. WAIVER OF CLASS RELIEF AND COLLECTIVE ACTION

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER YOU NOR Players Club Social Casino SHALL BE ENTITLED TO BRING, CONSOLIDATE, JOIN OR COORDINATE DISPUTES BY OR AGAINST OTHER INDIVIDUALS OR ENTITIES, OR PARTICIPATE IN ANY COLLECTIVE ARBITRATION OR ARBITRATE OR LITIGATE ANY DISPUTE IN A REPRESENTATIVE CAPACITY. YOU MAY ONLY ARBITRATE OR LITIGATE ON AN INDIVIDUAL BASIS ONLY AND FOR YOUR OWN LOSSES ONLY. UNDER THIS AGREEMENT, YOU MAY NOT PROCEED IN ARBITRATION OR COURT AS A CLASS REPRESENTATIVE, MEMBER OR PART OF ANY PROPOSED CLASS, COLLECTIVE ACTION OR MASS ARBITRATION, PRIVATE ATTORNEY GENERAL SUIT OR ANY REPRESENTATIVE PROCEEDING, OR OTHERWISE SEEK TO RECOVER ON BEHALF OF OTHERS OR FOR THE BENEFIT OF OTHERS IN ANY TYPE OF CLAIM OR ACTION. YOU AND Players Club Social Casino ARE EACH WAIVING RESPECTIVE RIGHTS TO PARTICIPATE IN A CLASS ACTION. BY ACCEPTING THIS AGREEMENT, YOU GIVE UP YOUR RIGHT TO PARTICIPATE IN ANY PAST, PENDING OR FUTURE CLASS ACTION OR ANY OTHER CONSOLIDATED OR REPRESENTATIVE PROCEEDING, INCLUDING ANY EXISTING AS OF THE DATE YOU AGREED TO THIS AGREEMENT. YOU ALSO EXPRESSLY WAIVE AND RELEASE, TO THE FULLEST EXTENT AVAILABLE AT LAW, ANY CLAIM PURPORTED TO BE ASSERTED BY ANY OTHER PERSON ON YOUR BEHALF OR FOR YOUR USE OR BENEFIT.

1. WAIVER OF JURY TRIAL

EACH PARTY HEREBY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO THE PLATFORM OR SERVICES OR ANY TRANSACTIONS BETWEEN THE PARTIES, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY.

1. SEVERABILITY

This Agreement applies solely to the extent permitted by law. If for any reason any provision of this Agreement or portion thereof, is found by a court of competent jurisdiction to be unlawful, void, or unenforceable, that part of this Agreement will be deemed severable and shall not affect the validity and enforceability of the remainder of this Agreement which shall continue in full force and effect. The parties agree further that if any part of this Agreement is deemed to be illegal, invalid, void or for any reason unenforceable, that the invalid or unenforceable provision should, to the greatest extent possible, be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.

WAIVER

No delay or omission by Players Club Social Casino to exercise any right occurring upon any noncompliance on your part with respect to any of the terms and conditions contained herein will impair any such right or power or be construed to be a waiver thereof. Any waiver by Players Club Social Casino of any of the covenants, conditions or agreements to be performed by you will not be construed to be a waiver of any succeeding breach thereof or of any covenant, condition or agreement herein contained.

SEVERABILITY

If any of the terms and conditions contained herein are adjudged invalid or unenforceable by a court of competent jurisdiction, the remaining portions will remain valid, enforceable, and in effect.

INDEPENDENT CONTRACTOR

Players Club Social Casino is an independent contractor; nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship between you and Players Club Social Casino.

TAXES

You are solely responsible for any taxes which apply to your use of Players Club Social Casino.

CONTINUED USE DEEMED ACCEPTANCE

Players Club Social Casino reserves the right, at its sole discretion, to change, alter, amend, add to, or otherwise modify these Terms and Conditions, Sweepstakes Rules, Privacy Policy, and Responsible Social Play Policy from time to time. Any amendments will be published on the Players Club Social Casino website and such changes will be binding and effective immediately. After any such modification becomes effective, Players Club Social Casino will deem your continued use of Players Club Social Casino or any of the Content to constitute your acceptance of and agreement to such modification. You agree it is your duty to read these Terms and Conditions prior to using, accessing or browsing the Players Club Social Casino website.
